These Shop Terms ("Terms") are a legal agreement between you and Propera Pvt Ltd, a company incorporated in the Republic of Maldives that operates the Eveyla platform ("Eveyla", "we", "us", "our"). They apply to any shop, restaurant, home kitchen, kade, or other merchant ("you", "the Shop") that uses Eveyla to list products and take orders.
By creating a shop, using the dashboard, or keeping a listing or storefront on Eveyla, you agree to these Terms and to our Privacy Policy, which is part of this agreement. You also acknowledge that your customers use Eveyla under our Customer Terms.
Please read section 6 (Food safety, licensing, and product information), section 19 (Indemnification), and section 20 (Liability) carefully. They affect your legal responsibilities.
1. Definitions
"Eveyla", "platform", "we", "us", "our" means the Eveyla website, storefronts, listings, dashboard, ordering tools, and related services operated by Propera Pvt Ltd.
"Shop", "you" means the merchant that uses Eveyla, and includes its owners and staff.
"Customer" means a person who browses or places an order with you through Eveyla.
"Order" means a request a Customer submits through Eveyla to buy your products.
"Listing" means the free directory tier described in section 2.
"Storefront" means the paid tier described in section 2.
"Fee" means the monthly fee for the Storefront tier, described in section 10.
"Content" means your shop name, logo, item names, descriptions, prices, images, and other material you add to the platform.
2. What Eveyla provides, and the two tiers
Eveyla gives shops a way to be found and to take orders online. Eveyla is the technology (the rails). It is not your agent, does not buy or sell your products, does not handle your money, and does not prepare or deliver your orders.
Eveyla offers two tiers:
Free Listing. A directory entry that helps Customers find you and contact you. It includes a limited number of items and hands Customers off to you through WhatsApp or Viber to arrange their order. It does not include the in-app cart, checkout, order board, or point of sale. There is no Fee for a Listing.
Paid Storefront. Everything in the Listing, plus your own hosted storefront, full catalog, in-app cart and checkout, a live order board, order records, and the Counter point-of-sale tool, for a flat monthly Fee.
The exact features in each tier are shown in the app and may change over time as we improve the service. Eveyla may add, change, or remove features, including in either tier.
3. Free trial
We may offer a free trial of the Storefront tier, currently 14 days, so you can try the paid features before paying.
You can start a trial without paying. During an active trial, you get the Storefront features at no charge.
A trial is intended as one trial per shop. We may decline or end a trial we believe is being misused, and we may change or withdraw trial offers at any time.
When your trial ends, if you have not paid the Fee, your Storefront features are paused and your shop continues as a free Listing until payment is confirmed. You are under no obligation to continue to the paid tier.

4. Eligibility and your status
You confirm that you are legally able to enter into this agreement and to operate your shop and sell your products under the laws of the Republic of Maldives. If your activity requires any registration, permit, or licence (for example for preparing or selling food), holding it is your responsibility, not ours. Eveyla does not verify your eligibility, registrations, or licences, and provides no advice on them.
5. You are the seller
You sell directly to your Customers. You are responsible for:
Your products and menu, including prices, descriptions, images, availability, and stock, and keeping them accurate and current
Operating within the law and holding any licences, permits, or registrations your activity requires
Setting and honouring your delivery fee, minimum order, delivery areas, islands, ferry details, pickup details, and hours
Fulfilling and delivering your Orders, including any ferry or island handoff you offer
Monitoring your Orders, responding to them promptly, and keeping Order statuses reasonably up to date, since Customers rely on them
Honouring any scheduled or pre-order date and time you accept, or contacting the Customer promptly if you cannot meet it
Handling Customer questions, cancellations, refunds, replacements, and complaints, under your own policies and applicable Maldivian consumer law
Honouring any promotion or discount code you create
If you use stock tracking, you are responsible for the figures you enter. If you use the Counter point-of-sale tool to record in-person or cash sales, those records are yours, and Eveyla does not verify or take responsibility for them.
If you publish your own policies or terms to your Customers, for example on cancellations or refunds, they must be lawful, fair, and consistent with these Terms and the Customer Terms. Where they conflict with these Terms about use of the platform itself, these Terms prevail.
6. Food safety, licensing, and product information
This section is important, especially for food shops and home kitchens.
You are solely responsible for the safety, quality, and legality of everything you sell. You confirm and agree that:
You comply with all applicable food safety, hygiene, health, labelling, and licensing laws and requirements in the Maldives, and you hold any permit or licence your activity needs.
Your products are safe, fit for sale, and not expired, recalled, contaminated, or unsafe.
The ingredient, allergen, and product information you provide is accurate, and you give Customers the information they need, including about allergens, on request.
You prepare, handle, store, package, and deliver your products safely and lawfully.
Eveyla does not prepare, inspect, test, certify, or supervise any product, and makes no representation about your products. You are responsible for any harm, illness, injury, allergic reaction, or other loss connected with your products, and you indemnify Eveyla for it, as set out in section 19.
7. Prohibited and restricted items and activities
You must not list, sell, or use Eveyla in connection with:
Anything that is illegal under the laws of the Maldives
Alcohol, pork products, narcotics or controlled substances, or any item that is prohibited or restricted for sale, unless you are lawfully permitted and properly authorised to sell it
Weapons, explosives, or other dangerous goods
Counterfeit goods, or goods that infringe another person's intellectual property
Unsafe, expired, recalled, or unfit goods
Medicines, supplements, or regulated products you are not authorised to sell
Live animals, unless lawful and properly licensed
Adult or obscene content
Any item that requires a licence or permit you do not hold
Fraud, money laundering, or any other illegal financial activity
You are responsible for the legality of everything you list and sell. We may remove any listing and suspend any shop that breaches this section.
8. Payments to you
Customers pay you directly by cash on delivery or bank transfer. Eveyla never collects or holds your Order money and takes no commission on your sales.
You are responsible for the accuracy of the bank details you publish, and for confirming that a transfer has actually been received before treating an Order as paid. Eveyla cannot verify, reverse, or recover any transfer.
You mark Orders as paid. Any dispute about a payment (for example a failed, duplicated, reversed, or incorrect transfer, or a cash issue) is between you, your Customer, and your bank.
You are responsible for your own bookkeeping and records.
9. Taxes
You are solely responsible for your own taxes. This includes determining whether you must register for, charge, collect, and remit Goods and Services Tax (GST) or any other tax on your sales, and meeting all of your tax filing and record-keeping obligations. Eveyla does not provide tax advice and is not responsible for your tax affairs.
The Fee for the Storefront tier is the amount shown to you. If GST or another tax applies to the Fee itself, we will make that clear.
10. Eveyla's Fee, billing, and pausing
You pay Eveyla a flat monthly Fee for the Storefront tier, never a commission. The current Fee is shown in the app and on your billing screen.
Offline billing. The Fee is billed offline: you make payment to the account shown on your billing screen and upload a payment receipt. Eveyla reviews it and activates or continues your Storefront.
Active while paid or on trial. Your Storefront is active while your Fee is paid and current, or while you are within an active free trial.
Pausing. If your Fee becomes overdue, or your trial ends without payment, your Storefront features are paused and your shop continues as a free Listing until payment is confirmed. Your shop data is retained during a pause and your Storefront can be reactivated when payment is confirmed.
Fee changes. We may change the Fee. We will give reasonable advance notice, for example in the app or by email. If you continue to use the paid tier after a change takes effect, you accept the new Fee. If you do not accept it, you can stop using the paid tier or revert to the free Listing.
Refunds. Fees already paid are non-refundable except where the law requires otherwise.
11. Your account and staff
Keep your login secure and your account and contact details current. You are responsible for all activity on your account, for your staff's access, and for what your staff do on the platform. Staff have an orders-only view and cannot change your prices, settings, or banking details.
Do not share owner credentials. Tell us promptly if you believe your account has been accessed without authorisation. We may act on instructions given by anyone who appears to be authorised on your account.
12. Your Customers and their information
Your Customers remain yours. Eveyla does not market to them or move them to other shops.
You are an independent party responsible for your own use of your Customers' personal information (a controller under data protection law). Eveyla handles Order information partly on your behalf, as the platform that carries and stores it, and partly for its own purposes such as security, records, and analytics, as described in the Privacy Policy.
You agree that you will:
Use Customer information only to fulfil Orders and provide your service
Have a lawful basis to handle it, keep it secure, and comply with Maldivian data protection law
Not sell it, export it for unrelated purposes, send unwanted marketing, or otherwise misuse it
Handle requests from your Customers about your own use of their information, and tell them what they need to know about that use
13. Reviews
Eveyla operates the ratings and reviews system. Reviews belong to the Customers who write them.
You must not write fake reviews, pay for or solicit reviews through deception, post reviews of your own shop, or otherwise manipulate ratings. You must not remove or alter genuine Customer reviews. Eveyla controls moderation of reviews under the Customer Terms and may remove reviews that break the rules.
14. Your brand and Content
You keep ownership of your name, logo, and Content. You grant Eveyla a non-exclusive, royalty-free licence to host, display, reproduce, and adapt your Content as needed to operate, promote, and run your listing or storefront on the platform.
You confirm that you have the right to use everything you upload, that it is accurate, and that it is not unlawful or infringing. You are responsible for your Content, and you indemnify Eveyla for claims arising from it, as set out in section 19.
A discreet "powered by Eveyla" mark appears on your storefront.
15. Eveyla's intellectual property
The Eveyla platform, including its software, design, layout, and the Eveyla name and logo, belongs to Propera Pvt Ltd or its licensors. You receive a limited, non-exclusive, non-transferable, revocable right to use the platform to run your shop while these Terms are in effect. You may not copy, modify, resell, sublicense, reverse engineer, or create derivative works from any part of the platform, and you may use the Eveyla name and logo only as the "powered by Eveyla" attribution allows.
16. Service availability, changes, and beta features
Eveyla is provided on an "as is" and "as available" basis. We do not promise that the platform will always be available, uninterrupted, secure, or error-free, and we may change, suspend, or withdraw all or part of it, including for maintenance or for operational, legal, or security reasons.
Some features are provided as beta or may change, and are offered as they are. Order notifications, which may use web push or Telegram, are provided to help you but are not guaranteed to be delivered or delivered on time, so you are responsible for monitoring your Orders.
We may apply technical measures, such as rate limits, to protect the platform, Shops, and Customers from fraud and abuse.
17. Acceptable use
You agree that you will not:
List or sell anything prohibited or restricted under section 7, or operate unlawfully
Commit fraud, or use the platform for money laundering or other illegal financial activity
Misuse the platform, or target or misuse another shop's customers
Interfere with, disrupt, overload, or attempt to gain unauthorised access to the platform or its systems, or bypass any limit or security measure
Scrape, copy, or harvest data or content beyond what is normally needed to run your shop
Resell, sublicense, or share access to the platform, or circumvent the Fee or trial limits
Use Customer information for spam or any unlawful purpose
Use the platform to harm Eveyla, Customers, or other shops
You must comply with all applicable laws at all times.
18. Suspension and termination
You can stop at any time, since it is a monthly arrangement, by closing your shop or letting your Storefront revert to a Listing.
We may suspend or remove your shop, in whole or in part, for non-payment, for unlawful, unsafe, or prohibited activity, for risk to Customers, Eveyla, or other shops, or for breach of these Terms. Where it is reasonable and lawful to do so, we will give notice, but we may act immediately in serious cases. We may also investigate suspected breaches and report unlawful activity to the relevant authorities.
When your shop ends:
Your storefront is taken down, and your shop link may stop working, be retained, or be redirected.
You remain responsible for completing any Orders you have already accepted, and for your obligations to your Customers.
Before you leave, you may ask us to provide an export of your shop data where this is reasonably feasible.
We may retain records as required by law and as described in the Privacy Policy.
Fees already paid are not refunded on a termination for your breach.
Sections that by their nature should survive (including sections 6, 7, 8, 9, 12, 14, 15, 19, 20, and 24) continue to apply after your shop ends.
19. Indemnification
You agree to indemnify and hold harmless Propera Pvt Ltd, and its directors, officers, employees, and contractors, from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from or connected with:
Your products, including their safety, quality, and legality, and any illness, injury, allergic reaction, or harm connected with them
Your acts or omissions, your fulfilment or non-fulfilment of Orders, and your dealings and disputes with your Customers
Your breach of these Terms or of any law, licence, or permit requirement
Your Content, or any claim that it is unlawful or infringes someone's rights
Your handling of Customer or other personal information
Your taxes and your bank or payment arrangements
This section survives termination.
20. Liability
Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under the laws of the Maldives, including liability for death or personal injury caused by our negligence or for fraud.
Subject to that, and to the fullest extent allowed by law:
Eveyla is provided "as is" and "as available", and we are not liable for your sales, your Customers, your products, your deliveries, any payment matter, the conduct of any third-party service, or any reliance you place on the platform.
Eveyla is not liable for any indirect, incidental, special, or consequential loss, or for loss of profit, revenue, data, goodwill, or opportunity, however it arises.
Eveyla's total aggregate liability to you for all claims connected with the platform, where such liability is not otherwise excluded, is limited to the greater of the Fees you paid to Eveyla in the 3 months before the claim, or MVR 1,000.
21. Relationship of the parties
You and Eveyla are independent. Nothing in these Terms creates any agency, partnership, employment, joint venture, or franchise between us. Neither party can bind the other, and Eveyla acts as a technology provider, not as your agent or seller.
22. Feedback
If you give us feedback, ideas, or suggestions about Eveyla, we may use them freely to improve the service, without any obligation or payment to you, and you grant us the rights needed to do so.
23. Changes to these Terms
We may update these Terms from time to time. When we do, we will change the "Last updated" date above and post the updated Terms on the platform. If a change is significant, we will take reasonable steps to make it clear. Your continued use of Eveyla after a change means you accept the updated Terms. If you do not agree to a change, please stop using Eveyla and close your shop.
24. Disputes and governing law
These Terms, and any dispute or claim arising out of or in connection with them or the platform (including non-contractual disputes), are governed by the laws of the Republic of Maldives.
If you have a concern, please contact us first at hello@propera.io so we can try to resolve it informally. If a dispute cannot be resolved, it is subject to the exclusive jurisdiction of the courts of the Republic of Maldives.
25. General
Entire agreement. These Shop Terms and the Privacy Policy are the entire agreement between you and Eveyla about your use of the platform as a shop, and replace any earlier understanding on that subject. The Customer Terms apply to your Customers' use of the platform.
Severability. If any part of these Terms is found to be unenforceable, the rest stays in force, and the unenforceable part is read down to the minimum extent needed.
No waiver. If we do not enforce a right or provision, that is not a waiver of it.
Assignment. You may not transfer your rights or obligations under these Terms without our consent. We may transfer ours to another company, for example as part of a reorganisation or sale of the business, without reducing your rights under these Terms.
Force majeure. Neither party is liable for any failure or delay caused by events beyond its reasonable control, including outages, network or hosting failures, acts of government, natural events, or emergencies.
No third-party rights. No one other than you and Eveyla has any right to enforce these Terms.
Notices. We may communicate with you electronically, in the app or by email, and you agree to receive communications that way. You are responsible for keeping your contact details current and for monitoring them.
Language. These Terms may be offered in more than one language. If there is any conflict between versions, the English version prevails.
Headings. Section headings are for convenience only and do not affect interpretation.
